The Toolkit is intended for informational and educational purposes only.By accessing or using any materials, products, or services provided by ClinicGuard Solutions, you acknowledge and agree that you are responsible for determining how to implement these materials within your own organization and that your use does not establish a client, advisory, or consulting relationship with the Company.
2. Not Legal, Regulatory, or Professional Advice
All materials provided through ClinicGuard Solutions — including templates, standard operating procedures (SOPs), policies, training modules, and guidance documents — are not legal advice, not regulatory advice, and not a substitute for consultation with qualified professionals such as attorneys, compliance officers, or licensed consultants. Upon purchase, you are granted a non-transferable, non-exclusive license to use and customize the Toolkit solely within your organization. Some Toolkit packages include ongoing updates for a defined period (usually 12 months from purchase). After that period, continued access to updated materials may require renewal or subscription. ClinicGuard Solutions reserves the right to modify, improve, or discontinue any portion of its Toolkit offerings at any time without notice.
5. No Guarantee of Compliance
ClinicGuard Solutions develops materials that are designed to support compliance efforts but does not make any express or implied representations, warranties, or guarantees that use of the Toolkit alone will satisfy all federal, state, or payer-specific compliance requirements. Regulatory compliance depends on a variety of factors unique to each organization, including internal policies, staff training, supervision, and operational oversight. To the fullest extent permitted by law, ClinicGuard Solutions, its owners, affiliates, contractors, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from or in connection with the use or misuse of the Toolkit, website, or related materials.This includes, without limitation, claims for lost profits, data loss, regulatory penalties, or other commercial damages, even if ClinicGuard Solutions has been advised of the possibility of such damages.In no event shall the total liability of ClinicGuard Solutions, whether in contract, tort (including negligence), or otherwise, exceed the amount paid by the customer for the product or service that gave rise to the claim.

Failure to adhere to these responsibilities may result in compliance gaps for which ClinicGuard Solutions assumes no liability.

By using the Toolkit, you agree to indemnify, defend, and hold harmless ClinicGuard Solutions, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including attorney’s fees) arising out of or related to your use, misuse, or reliance upon the materials provided.
9. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. You agree that any dispute arising under or relating to these Terms will be brought exclusively in the state or federal courts located within Tennessee.
10. Acceptance of Terms
By purchasing, accessing, or using any ClinicGuard Solutions materials, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use & Disclaimer.
